1. Who these terms are between
These terms are an agreement between the operator of notdocs described on the legal notice, whose details are given on request as that page says ("notdocs", "we"), and the person or organization using the service ("you"). If you use notdocs for an organization, you confirm you may bind it, and "you" means the organization.
Section 12 applies to anybody who visits notdocs.dev, signed in or not. Sections 2 to 11 apply once you create an account.
2. The service
notdocs is a workspace over markdown files in a git repository. The hosted service at notdocs.dev signs you in, connects to repositories through a GitHub App you install, indexes the documents in them, and lets you and the agents you authorize read and write those documents through a web app, a command line tool and a Model Context Protocol server. The command line tool also runs the same workspace locally, on your own machine, without an account, under the software licence; these terms cover it only to the extent it talks to the hosted service.
3. Your account and your organization
You need an account to use the hosted service. Sign-in is provided by Clerk. Keep your credentials to yourself, tell us at security@notdocs.dev if you think they have been used by somebody else, and be responsible for what happens under your account until you do.
An organization is created by one account, its owner. Owners may invite members and guests, create agent tokens, connect GitHub and set domains. What each role may do is described in the security page.
4. Your content
Your content is yours. It is stored in your repository; we hold an index of it and the text of versions we have seen so that search, boards and merges work. You grant us only the licence needed to run the service: to read your content, to index it, to send parts of it to AI model providers when you ask the assistant to, and to write it back to your repository as commits when you or an authorized agent save.
You are responsible for the content and for having the rights to put it in the repositories you connect. Do not use the service to store or distribute content that is unlawful, that infringes somebody else's rights, or that is malware.
5. Agents and tokens
Agent tokens act with the scope you give them. Anything done with a token is done by you, until the token is revoked. Revoke a token you no longer trust immediately; it takes effect on the next request.
6. AI features
The assistant, inline rewrite and search embeddings use AI models through Vercel AI Gateway. Which content is sent, which models are used and how to avoid sending content are described in the AI disclosure. Model output can be wrong; the assistant asks before it writes, and you are responsible for what you accept.
On a paid plan the assistant runs on our gateway credentials up to the monthly allowance shown on the pricing page and in your organization's settings; the allowance is the model providers' own usage price, passed through at cost, and resets each calendar month. On the Free plan, or once the allowance is used up, the assistant runs on a gateway key you supply, which stays in your browser and is sent only with your own requests.
7. Acceptable use
Do not attempt to access other people's organizations, data or repositories; do not probe, scan or overload the service except as allowed in the security page; do not resell the service; do not use it to break the law. We may suspend an account or a token that does any of these, and we will tell you why unless the law prevents it.
8. Plans and fees
The hosted service has a Free plan and paid plans, described with their limits and prices on the pricing page. A plan applies to one organization and is billed monthly, in advance, from the day it is bought. Nothing becomes payable without your express agreement at checkout.
Payments are taken by Polar Software Inc. as merchant of record: Polar is the seller on the invoice, charges VAT or sales tax where it applies, and its terms govern the payment itself. Paid plans are sold to organizations for business use; if you buy as a consumer, the statutory rights of your country apply in addition to these terms.
You can cancel from the billing portal at any time; renewal and cancellation walks through it. The plan stays in force until the end of the period already paid for, then the organization returns to the Free plan and its limits apply again; content in your repositories is never touched. Partial periods are not refunded unless the law says otherwise. If a payment fails, we keep the plan for a few days while Polar retries, then the organization returns to Free.
We may change prices with at least 30 days' notice by email to the organization's owners; the new price applies from the next period after the notice.
9. Availability and changes
We work to keep the service available but do not promise any particular uptime, and there is no published service level yet. We may change or discontinue features; if we discontinue the hosted service, we will give at least 30 days' notice. Because your content is in your repository, discontinuation does not take your content with it; see data portability and exit.
10. Termination
You may stop using the service at any time. To delete your account and the data we hold about you, write to privacy@notdocs.dev; we will confirm within 30 days. Uninstalling the GitHub App ends our access to your repositories immediately. We may terminate an account that breaches these terms, with notice where we can give it.
11. Liability
We provide the service as it is. To the extent the law allows, we are not liable for indirect loss, loss of profit, or loss of data that is recoverable from your repository, and our total liability for any claim is limited to the amount you paid us in the twelve months before the claim, or €100 if you paid nothing. Nothing in these terms limits liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot be limited by law. If you are a consumer, the mandatory law of your country of residence applies where it is more favourable to you.
12. Using this website
The pages on notdocs.dev outside the app are covered by the website terms of use.
13. Data protection
How we process personal data is described in the privacy policy. Where we process personal data on your behalf, the data processing agreement forms part of these terms.
14. Changes to these terms
We may update these terms. The date at the top of the page is the date of the current version. For material changes we will notify account holders by email or in the app at least 14 days before they take effect; continued use after that date is acceptance. If you do not accept, stop using the service and, if you wish, ask us to delete your account.
15. Governing law
These terms are governed by the laws of Greece, and disputes are brought before the courts of Athens, Greece, without prejudice to the mandatory rights of consumers to sue and be sued in their own country.
